LLC Formation |
- Organizers file the
articles of
organization, along with the required
processing fees, with the
Minnesota
Secretary of State. Once the filing is officially
approved, the business begins its existence, as
a separate legal entity.

First,
choose the name of your LLC. The name must be
clearly different from the name of another
business. So, at no extra charge,
Proactive Management will
perform three name searches to determine if your
desired name(s) are available.

This name must also include
one of the following phrases "limited company" or
"limited liability company" or "LLC." It must not
contain the words "corporation" or "incorporated" or an
abbreviation of these words and must not contain a word
or phrase that implies it is organized for a purpose
other than a legal business purpose.

The
Articles
of Organization will address
- The
name and place of residence of each
organizer, along with the signature of at
least one organizer. Organizers must be a natural
person at least 18 years old.

Unless otherwise provided,
the shall LLC have a general business purpose or
purposes, unless some other statute of this state
requires organization for any of those purposes under a
different law.

The
street address of the firm's
registered
office and the name of the
registered
agent at that location. The registered
agent must maintain a business office that is identical
wit the registered office.

A limited liability company
shall have one or more members and have one or more
natural persons exercising the functions of the offices,
however designated, of chief
manager
and treasurer.
- The
duration of the LLC's existence is perpetual
