• Organizers file the articles of organization, along with the required processing fees, with the Iowa Secretary of State. Once the filing is officially approved, the business begins its existence, as a separate legal entity.
• First, choose the name of your LLC. The name must be clearly different from the name of another business. So, at no extra charge, Proactive Management will perform three name searches to determine if your desired name(s) are available.
• This name must also include one of the following phrases "limited company" or "limited liability company" or any abbreviation thereof such as "L.C.," or "L.L.C."  The name may not contain "Corporation," "Limited Partnership," "Corp.," "Inc.," "LP," or words or abbreviations of like import in another language
• The Articles of Organization will address
  • The street address of the firm's initial registered office and the name of the registered agent at that location
  • The street address of the firm's principal office, which may be the same as the registered office but may not be within the state
  • The purpose of the business is for engaging in any lawful business unless a more limited purpose is set forth in the Articles
  • Management of the limited liability company will be vested in its members unless a statement in the Articles or operating agreement states that one or more managers will manage the firm
  • The duration of the LLC's existence which may be perpetual
  • The effective date of the Articles which may not be more than ninety days from the filing date
