LLC Formation |
- Organizers file the
articles of
organization, along with the required
processing fees, with the
Arizona Corporation Commission. Once the filing is
delivered, the business begins its existence, as
a separate legal entity. However, the Articles may
specify a delayed effective date of up to 90 days from
the date actually filed with the Commission.

First,
choose the name of your LLC. The name must be
clearly different from the name of another
business. So, at no extra charge,
Proactive Management will
perform three name searches to determine if your
desired name(s) are available.

This
name must also include one of the following
phrases "limited company" or "limited liability
company" or any abbreviation thereof such as
"LC," "LLC, " "L.C.," or "L.L.C." The name shall not
contain "association," "corporation," "incorporation,"
or an abbreviation of those words.

The
Articles
of Organization will address

The
purpose of the organization may be to conduct or promote
business and other activities for any lawful purpose
except banking or insurance.

The
street address, name, and signature of the
registered
agent, and the company's business address if
different from the address of the registered agent
- A
statement as to whether the management of the
limited liability company will be vested in
one or more managers
or is reserved to members. If managed by members,
disclose each of their names and addresses. If
managed by members, disclose the names and addresses of
those who own a 20% or greater interest in the LLC's
capital or profits.
- The
duration of the LLC's existence may be
perpetual or until a specific date
